Terms of Service

These Terms of Service ("Terms") govern your use of QualiHQ, a software service provided by Keith Burke trading as QualiHQ ("we", "us", "our"). By creating an account or using the service you agree to these Terms.

If you are using QualiHQ on behalf of a company or organisation, you confirm that you have authority to bind that entity to these Terms.

1. The service

QualiHQ is a cloud-based Quality Management System (QMS) platform. It provides tools for managing requirements, verifications, risk analyses, releases, issues, and corrective actions for software and medical device teams.

We provide the platform as a tool to help you structure and document your compliance processes. QualiHQ does not provide legal, regulatory, or compliance advice. It is your responsibility to ensure your QMS meets the standards and regulations applicable to your products and markets.

2. Accounts

You must register for an account to use QualiHQ. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access.

You must provide accurate information when registering and keep it up to date. We reserve the right to suspend or terminate accounts that provide false information.

3. Subscriptions and billing

QualiHQ offers a free tier and paid subscription plans. Paid plans are billed monthly in advance via Stripe. By subscribing to a paid plan you authorise us to charge your payment method on a recurring monthly basis.

Paid plans include a 14-day free trial. No charge is made during the trial period. If you cancel before the trial ends, you will not be charged.

Early adopter pricing is offered at a flat monthly rate as advertised at the time of subscription. This rate may be subject to change with reasonable notice. We will notify you by email at least 30 days before any price change takes effect.

All prices are exclusive of VAT or other applicable taxes. Where required by law, applicable taxes will be added to your invoice.

Refunds are not provided for partial months. If you cancel your subscription, you retain access until the end of the current billing period.

4. Acceptable use

You agree not to use QualiHQ to:

• Upload or process any content that is unlawful, harmful, or infringes the rights of any third party
• Attempt to gain unauthorised access to the service, our systems, or other users' accounts
• Use automated means to scrape, extract, or abuse the service in ways that place unreasonable load on our infrastructure
• Resell, sublicense, or otherwise make the service available to third parties without our written consent
• Use the service for any purpose that violates applicable laws or regulations

5. Your data

You retain ownership of all content and data you upload or create within QualiHQ. We process your data only to provide the service and as described in our Privacy Policy.

You are solely responsible for maintaining your own backups of your data. QualiHQ does not guarantee data backup or recovery. We strongly recommend you regularly export your data using the export tools provided. We accept no liability for any loss of data howsoever caused.

Upon termination of your account, your data will be retained for 30 days after which it will be permanently deleted. You may request an export of your data at any time by contacting [email protected].

6. AI-generated content

QualiHQ uses artificial intelligence to generate suggestions including requirements, verifications, and risk items. AI-generated content is provided as a starting point only. You are responsible for reviewing, editing, and approving all content before it is used as part of your QMS. We make no warranty that AI-generated content is accurate, complete, or suitable for your specific regulatory requirements.

7. Intellectual property

QualiHQ and its underlying software, design, and technology are owned by Keith Burke trading as QualiHQ and protected by applicable intellectual property laws. These Terms do not grant you any rights in our intellectual property beyond the right to use the service as described herein.

You grant us a limited licence to process and store your data for the purposes of providing the service.

8. Availability and changes

We aim to maintain high availability but do not guarantee uninterrupted access to the service. We may perform maintenance, updates, or changes to the service at any time. Where planned maintenance will cause significant downtime we will provide advance notice where reasonably practicable.

We reserve the right to modify or discontinue features of the service. We will provide reasonable notice of material changes.

9. Limitation of liability

To the maximum extent permitted by applicable law, QualiHQ and Keith Burke trading as QualiHQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the service, including but not limited to loss of data, loss of profits, regulatory penalties, audit failures, or compliance failures.

QualiHQ is a tool to help you organise and document your compliance processes. We make no warranty that use of the service will result in regulatory compliance, certification, or a successful audit outcome. That responsibility rests entirely with you.

Our total liability to you for any claim arising out of or in connection with these Terms or the service shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Termination

You may cancel your account at any time from your account settings. We may suspend or terminate your account if you breach these Terms, fail to pay fees when due, or if we are required to do so by law. We will give you reasonable notice before termination except where immediate action is required.

11. Governing law

These Terms are governed by the laws of Ireland. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland.
